App End-User License Agreement

This End-User License Agreement (“Agreement”) is a legal agreement between you (“you” or “User”) and TapSpark LLC (“we,” “us,” or “our”) governing your use of TapSpark Payroll (the “App”), software that integrates with QuickBooks® Online through Intuit’s APIs. By installing, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not use the App.
1. License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your internal business purposes, including connecting the App to your QuickBooks Online company and processing your accounting data.
2. Description of the App
The App connects to QuickBooks Online via Intuit’s authorized APIs to retrieve, synchronize, and manage accounting and business data on your behalf. Use of the App with QuickBooks Online is also subject to Intuit’s applicable terms of service.
3. Acceptable Use
You agree that you will not:
Use the App in violation of any applicable law, regulation, or third-party agreement, including Intuit’s terms;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except as permitted by law;
Copy, modify, distribute, sell, sublicense, or lease the App or any part of it;
Use the App to access data you are not authorized to access;
Interfere with or disrupt the integrity or performance of the App or Intuit’s services;
Attempt to gain unauthorized access to the App, its systems, or related networks.
4. Your Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your authorization, and for ensuring you have the right to connect and process any data you make available to the App. You are responsible for maintaining your own backups of your data.
5. Intellectual Property
The App, including all software, content, and associated intellectual property, is owned by TapSpark LLC or its licensors and is protected by applicable intellectual property laws. Except for the limited license granted above, no rights are transferred to you. QuickBooks and Intuit are trademarks of Intuit Inc.
6. Privacy
Your use of the App is also governed by our Privacy Policy, available at https://sipsiphooraydesign.com/pages/app-privacy, which describes how we collect, use, and protect information. By using the App, you consent to those practices.
7. Disclaimer of Warranties
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL BE ACCURATE OR PRESERVED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TapSpark LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless TapSpark LLC from any claims, damages, liabilities, and expenses arising from your use of the App or your violation of this Agreement.
10. Term and Termination
This Agreement remains in effect while you use the App. You may terminate it at any time by disconnecting the App from your QuickBooks Online company and ceasing use. We may suspend or terminate your access if you breach this Agreement. Upon termination, the license granted to you ends and you must stop using the App.
11. Governing Law
This Agreement is governed by the laws of the State of Louisiana, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Louisiana, and you consent to their jurisdiction.
12. Changes to This Agreement
We may update this Agreement from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the App after changes take effect constitutes acceptance of the revised Agreement.
